OK, OK. I got the dither figured out but I still need to know
when converting files from 96khz, 24 bit to 44 khz, 16 bit for audio cd
burning, is it better to do the resample first or the bit depth conversion
first?

Resample first. The bit reduction and it's effects will affect the sound of your music the most.
