The biggest difference that I know of is the OPTIONS. Vegas gives you more options over bitrate, whereas I think in DVDA you take what it thinks is a good bitrate with a Maximum setting.

But from anecdotal information I have seen here on the forums, the encoding in Vegas is better quality.

No, you cannot use a .veg in DVDA. A .veg has no media in it.
