Immediately after you open it, before clicking anything else, press Alt-spacebar and then M. You can now use the up arrow to move that window back onto the screen.

I tried it , but I still have the same problen, it still flies down vertically as many times I click on it and can not see it down, thanks

Well, you can reset Vegas back to it's original install state, which will fix the window problem. However, it will also reset every single thing you've changed and want to keep that way so you'll have to do all your customizations all over again.

If you want to do this, quit Vegas, then hold down the Shift + Ctrl keys while starting it again. Everything will go back to the way it was when you first installed it.
