Are you creating the title in Vegas or in another app? In Vegas... well, it's pretty obvious.

If it's another app, export the file with it's alpha channel. Works like a charm!

I'm creating it in vegas but can only see where it creates a solid back. Where are the settings to make the background transparent? I want the words a solid color & background transparent.

When you add text, a window opens that allows you to add shadows, etc. Under the properties tab there is a color setting for background. Drag the arrow down next to the square with the checker pattern. This determines the background opacity.

You can also use the template found under the text options.

You must also put the title in a track above the video track. For example, put the video clip on track 2 and the title on track 1. If you put them on the same track, then the title replaces the video clip rather than being combined with it.

Thanks Chienworks, that did the trick. What I was doing wrong was placing the clip on the same track instead of above it.

Just another note. If you create a title in Photoshop, Vegas will accept it as a Photoshop document, but it is better to export it as a PNG file and then use that in Vegas.
