It was the mp3 plugin needed to be reinstalled.

Could you elaborate on this a bit? The mp3 plug-in does not have a separate installer, it is installed with Sound Forge 6.0, so how did you reinstall only this component?

I removed the folder mp3 from Programs/Sonic Foundry/Shared Plug-Ins/File Formats. I then tried to start Sound Forge 6.0b. It open right up, but had no mp3 in the save as menue. I then copied the mp3 folder from Audio/Sound Forge 5.0 B/Shared Plug-Ins/File Formats/MP3 to Programs/Sonic Foundry/Shared Plug-Ins/File Formats where I removed the other mp3 plugin from while Sound Forge 6.0b was still open. I then closed SF 6.0 and re-opened it. It opened without a problem and now also had the mp3 choice in the save as menue. Problem solved.

Wow, that was some helly trouble shooting. Wouldn't it have just been easier doing an uninstall and then re-installing SF been a lot easier? That's usually my first step, when a program starts acting buggy or won't open for me. You must have been swapping files for days before finding that one?

In Windows Xp it gives you a report as to what is causing the snag. In this case it said there was a mp3 dll that was causing the problem. I used Start/Searce/ Files or folders to find the location of that dll. It was located in three areas. I removed them to another hard drive being sure to know which one went where so I could put them back where I got them. After removing them I tried SF 6.0b and it opened. It was clear that one or all of those dll files were causing the trouble. By replacing the dll files back to their original location I was able to locate the one and it's location that was the offender. It was natural to try one of the other mp3 dll setups in the same location as all the mp3 dll setups were different it seemed in size. Sure enough throw trial and error it all now works nicely.

I found that when using vst to dx wrappers the same thing can happen. Some vst plug-ins work with some wrappers and other that won't work with that wrapper will work with another wrapper. The complexities of computers I guess. Never a moments peace.

PS; I tried uninstalling and reinstalling till I was blue in the face.
