ok i start with 24 bit 44.1 wave file, i next dither down to 16bit, then save as mp3 at 320, but later im finding that the files are not all 320kbps but all different rates e.g. 222kbps ? whats going on?

How are you determining the bitrate is different than you intended?
Are you encoding a fixed or variable bitrate?

VBR (Variable Bit Rate) was likely check marked in the 'custom' encode settings window and will display different bit rates in playback. Uncheck VBR and re-encode to maintain a Constant Bit Rate ..aka, CBR.
VBR is usually more efficient in terms of file size, but CBR is more efficient in playback and is recommended for streaming.
For spoken word and material with no spacial content, mono CBR is efficient... half the KBp/s = about the same quality as a stereo encoded MP3.
Pre dithering to a lower bit depth is an unnecessary process for MP3..

LAME is a free mp3 encoder library available to CDex and other frontends.

WinLAME and LameXP are other GUI/front ends for LAME. WinLAME RC3 offers hi/low pass filters, CBR encode quality and many different kbps mono/stereo rates and combos in the GUI and user preset files. I'm not familiar with CDex but WinLAME and LameXP can batch process as well.

CDex, as the name suggests, has robust ripping options, in addition to control panels for LAME, OGG, FLAC, and others.

It's a simple interface, which I like for all kinds of audio conversions in addition to CD ripping.
